TERMS OF SERVICE

1. Acceptance of Terms

By accessing, browsing, or using SkillGraph ("Service"), operated by SkillGraph ("we", "us", "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree to all of these Terms, you are prohibited from using or accessing the Service. These Terms constitute a legally binding agreement between you and SkillGraph. Your use of the Service constitutes acceptance even if you have not clicked "I agree" or similar.

2. Description of Service

SkillGraph is a personal knowledge graph platform that allows users to create, organize, and connect knowledge nodes via AI chat, direct API access, or manual input. The Service includes a web dashboard, REST API, and AI-powered chat functionality. The Service is provided on an experimental, best-effort basis and may contain bugs, errors, or interruptions. Features may change, be deprecated, or be removed at any time without prior notice.

3. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Accounts and Security

You must create an account to use the Service. Authentication is handled via third-party providers (Google, GitHub) through Clerk, or via Phantom wallet. You are solely responsible for maintaining the confidentiality and security of your account credentials, API keys, and wallet connections. You are fully responsible for all activities that occur under your account, whether or not authorized by you. You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to secure your account.

5. User Content and Responsibility

You retain ownership of content you create ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to store, process, display, reproduce, and distribute your User Content solely to operate, maintain, and improve the Service, including for training internal systems, generating aggregated analytics, and providing support.

You are solely responsible for the accuracy, legality, and appropriateness of all User Content. You represent and warrant that your User Content does not: (a) infringe any third-party intellectual property, privacy, or other rights; (b) contain unlawful, defamatory, obscene, or harmful material; (c) contain malware, viruses, or malicious code; (d) violate any applicable law or regulation. We have no obligation to monitor, review, or moderate User Content, but reserve the right to remove any content at our sole discretion and without notice.

6. Public Profiles

If you enable a public profile, a subset of your knowledge graph metadata (titles, domains, tags, and short excerpts) will be visible to anyone, including search engines and AI crawlers. You acknowledge that publicly shared data may be cached, indexed, or archived by third parties beyond our control. Full node content remains private. You can disable your public profile at any time, but we cannot guarantee removal of data already cached by third parties.

7. AI Features — Disclaimer

The Service uses third-party AI models (Google Gemini) to process chat messages and generate knowledge nodes. AI-generated content is provided "as is" without any warranty of accuracy, completeness, correctness, or fitness for any purpose. AI outputs may contain factual errors, hallucinations, biased information, or inappropriate content.

You are solely responsible for reviewing, verifying, and validating all AI-generated content before relying on it for any purpose, including but not limited to professional, academic, financial, medical, or legal decisions. We expressly disclaim all liability for any actions taken or decisions made based on AI-generated content. The AI features do not constitute professional advice of any kind.

8. API Usage

API keys are provided for programmatic access. You must not share API keys publicly, embed them in client-side code, or distribute them to unauthorized third parties. Rate limits apply: 120 requests/minute for authenticated endpoints, 10 chat messages/minute. We reserve the right to throttle, suspend, or revoke API access at any time for any reason, including suspected abuse, without prior notice or liability. You are responsible for all API usage under your keys.

10. Intellectual Property

The Service, including but not limited to its design, source code, algorithms, branding, logos, UI/UX, documentation, and all related materials, is the exclusive property of SkillGraph and is protected by copyright, trademark, trade secret, and other intellectual property laws. "SkillGraph" and the diamond logo are trademarks of SkillGraph. No right, title, or interest in the Service is transferred to you. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code, unless permitted by law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate, reliable, or complete; (d) any errors in the Service will be corrected; (e) the Service will be compatible with your hardware, software, or network. You use the Service at your own risk. We are not responsible for any data loss, corruption, or unauthorized access resulting from your use of the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKILLGRAPH, ITS OWNER, OPERATORS, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR ANY DAMAGES ARISING FROM:

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) TEN EUROS (€10). THIS IS A FREE SERVICE AND THIS LIMITATION REFLECTS THE FREE NATURE OF THE OFFERING.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages, and even if a limited remedy set forth herein is found to have failed its essential purpose.

13. Indemnification

You agree to indemnify, defend, and hold harmless SkillGraph, its owner, operators, affiliates, and contributors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights; (f) any claim that your User Content caused damage to a third party. This indemnification obligation survives termination of these Terms and your use of the Service.

14. No Professional Advice

The Service, including all AI-generated content, is for informational and personal knowledge management purposes only. Nothing on the Service constitutes professional, legal, financial, medical, or any other form of advice. You should not rely on the Service as a substitute for professional consultation. We are not responsible for any decisions you make based on information obtained through the Service.

15. Third-Party Services

The Service integrates with third-party services (Clerk, Google Gemini, Phantom wallet) that are governed by their own terms and policies. We are not responsible for the availability, accuracy, security, or practices of any third-party service. Your use of third-party services is at your own risk. We make no warranties or representations regarding third-party services and disclaim all liability arising from your use of or reliance on them. If a third-party service becomes unavailable or changes its terms, we are not obligated to provide an alternative.

16. Service Modifications and Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We do not guarantee any uptime, availability, or performance level. Scheduled and unscheduled maintenance may occur at any time.

17. Termination

We may suspend or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice, including but not limited to violation of these Terms or suspected fraudulent or abusive activity. You may delete your account at any time. Upon termination:

Sections 5 (User Content), 10 (IP), 11 (Disclaimer), 12 (Liability), 13 (Indemnification), 14 (No Advice), and 19 (Governing Law) survive termination.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, DDoS attacks, third-party service outages, pandemics, or any other force majeure event.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the European Union. Any dispute arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be resolved exclusively in the competent courts of the European Union jurisdiction where the operator is established. You agree that any cause of action arising from the Service must be commenced within one (1) year after the cause of action accrues, or be permanently barred.

20. Refunds and Payments

The Service is currently provided free of charge. If paid features are introduced in the future, separate payment terms will apply. Unless explicitly stated otherwise, all payments are non-refundable. We reserve the right to introduce, modify, or remove pricing at any time. No refunds will be issued for partial months of service, downtime, unused features, or account termination due to Terms violations.

21. Data Loss Disclaimer

While we implement reasonable measures to protect your data, we do not guarantee against data loss, corruption, or unauthorized access. You are solely responsible for maintaining backup copies of your User Content. We strongly recommend regularly exporting your data via the API (GET /v1/graph/full). We shall not be liable for any data loss regardless of cause, including system failures, security breaches, human error, or acts of third parties.

22. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be replaced by a valid provision that most closely reflects the original intent.

23. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SkillGraph regarding your use of the Service and supersede all prior agreements, communications, and proposals. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

24. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes take effect immediately upon posting to the Service. We will make reasonable efforts to notify users of material changes, but it is your responsibility to review these Terms periodically. Continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you disagree with any changes, your sole remedy is to stop using the Service and delete your account.
